Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and VERDLO, Inc. ("VERDLO," "we," "us," or "our"). By accessing, browsing, and using VERDLO.com and its associated mobile applications (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.

If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time. Your continued use of the Service following notification of changes constitutes your acceptance of the modified Terms.

VERDLO is a global marketplace facilitating transactions between buyers and verified ethical sellers specializing in sustainable products. VERDLO is not a party to transactions between buyers and sellers but provides the platform enabling such transactions.

**User Eligibility** To use the Service, you must be at least 18 years old (or the age of majority in your jurisdiction) and possess the legal capacity to enter into binding contracts. If you are between 13 and 18, you may use limited features with parental or guardian consent.

**Account Creation** To access certain features, you must create an account by providing accurate, complete, and current information. You agree to: - Maintain the confidentiality of your password - Accept responsibility for all activity under your account - Promptly notify us of unauthorized access - Ensure all information remains accurate and up-to-date

We reserve the right to refuse registration or terminate accounts that violate these Terms or applicable laws.

**Seller Requirements** Sellers must complete our verification process, including: - Providing accurate business information - Demonstrating compliance with sustainability standards - Maintaining ethical business practices - Submitting to background checks where applicable - Obtaining necessary licenses and permits

Failure to maintain these requirements may result in account suspension or termination.

**Prohibited Activities** You agree not to: - Violate any applicable laws or regulations - Infringe intellectual property rights - Engage in fraudulent, deceptive, or manipulative conduct - Harass, threaten, defame, or harm other users - Post false, misleading, or harmful content - Attempt to gain unauthorized access to the Service or other users' accounts - Circumvent security measures or platform features - Engage in spam, manipulation of ratings or reviews, or artificial inflation of metrics - Post content of a violent, sexually explicit, or otherwise inappropriate nature - Resell products without authorization - Attempt to conduct transactions outside the platform to avoid fees

**Sustainability Standards** Sellers warrant that all products and claims meet VERDLO's sustainability standards: - Materials sourcing must be ethical and documented - Manufacturing processes must comply with environmental regulations - Supply chains must be transparent and verifiable - Fair wages and safe working conditions must be maintained - Packaging must be recyclable, reusable, or compostable - Carbon footprint claims must be substantiated

VERDLO reserves the right to audit sellers and revoke sustainability certification for violations.

**Intellectual Property** You retain ownership of content you create. By posting on VERDLO, you grant us a non-exclusive license to use, modify, and display your content for service operations and marketing purposes.

**Seller Responsibilities** Sellers are responsible for: - Accurate and complete product descriptions - Current pricing and availability information - Compliance with all applicable laws and regulations - Accurate categorization and tagging - Honest sustainability and sourcing claims - Timely order fulfillment - Appropriate refund and return policies

**Product Content** All product information, images, descriptions, and specifications must be accurate, non-infringing, and honestly represented. VERDLO may remove listings that violate these Terms or contain false, misleading, or harmful content.

**Prohibited Products** The following products and services may not be listed: - Counterfeit, stolen, or restricted items - Hazardous materials improperly packaged - Items prohibited by law in the target market - Services that violate ethics or legal standards - Duplicate listings designed to manipulate search results - Items making unsubstantiated health or environmental claims

**Pricing and Availability** Sellers must maintain accurate pricing and inventory information. VERDLO is not responsible for pricing errors, and sellers may cancel orders resulting from such errors at the time of transaction processing.

**Purchase Agreements** Purchases on VERDLO constitute binding contracts between buyers and sellers. VERDLO facilitates but is not a party to these agreements. By completing a purchase, you agree to the seller's terms and conditions.

**Payment Processing** - Payments are processed through secure third-party payment processors - You authorize the payment processor to charge your payment method - VERDLO and payment processors are not liable for payment processing failures not caused by their negligence - Disputed transactions are subject to the payment processor's chargeback policies - VERDLO does not store complete payment card information

**Pricing** All prices are in USD unless otherwise specified. Taxes, shipping, and additional fees are the responsibility of the applicable party and will be displayed before transaction completion.

**Refunds and Returns** Refund and return policies are determined by individual sellers and will be clearly displayed on product pages. VERDLO mediates disputes but does not enforce refund policies unless they violate our Community Standards.

**Cancellations** - Orders may be canceled before shipment initiation - Cancellation requests after shipment may be subject to restocking fees - Digital goods are generally non-refundable unless defective

**Currency and Chargebacks** You are responsible for currency conversion fees incurred through international transactions. Fraudulent chargebacks may result in account termination and legal action.

**Shipping Responsibility** Sellers are responsible for timely shipment of products. VERDLO is not liable for shipping delays, lost packages, or shipping errors caused by carriers.

**Risk of Loss** Risk of loss transfers from seller to buyer upon delivery to the shipping carrier. Buyers assume responsibility for packages upon receipt. Report delivery issues to the seller within 5 days of delivery.

**Insurance** VERDLO recommends sellers purchase shipping insurance. VERDLO is not responsible for uninsured lost or damaged shipments.

**International Shipping** International shipments are subject to customs, duties, and import taxes borne by the buyer. VERDLO does not calculate or collect these fees. You are responsible for compliance with import regulations.

**Liability Limitation** To the fullest extent permitted by law, VERDLO's total liability for any claims arising from the Service shall not exceed the amount you paid to VERDLO in the 12 months preceding the claim. In no event shall VERDLO be liable for: - Indirect, incidental, special, consequential, or punitive damages - Lost profits, revenue, or data - Business interruption - Cost of substitute products or services

**Review Authenticity** Users agree to post only honest, accurate reviews based on genuine experience with products and sellers. Prohibited review practices include: - Fake reviews (positive or negative) - Incentivized reviews without clear disclosure - Competitor sabotage through false reviews - Reviews containing spam or irrelevant content - Defamatory statements or false factual claims

**Moderation Rights** VERDLO reserves the right to: - Remove violative reviews - Suspend review privileges for violations - Adjust seller ratings or designate accounts as compromised - Fact-check review claims against objective evidence

**Seller Response** Sellers may respond to reviews but may not: - Threaten or harass reviewers - Offer compensation in exchange for review removal - Post fake refutations of legitimate reviews - Attempt to identify or doxx reviewers

**Rating Calculation** Ratings are calculated using verified purchaser reviews within a specified timeframe. Suspicious review patterns are algorithmically filtered.

**VERDLO Intellectual Property** The Service, including its design, functionality, content, and trademarks, is the intellectual property of VERDLO or its licensors. You may not: - Reproduce, modify, or distribute VERDLO materials without permission - Use VERDLO trademarks, logos, or brand elements - Create derivative works based on our technology - Reverse engineer or attempt to extract source code - Remove copyright or proprietary notices

**Limited License** We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

**User Content Rights** You retain ownership of content you post. By posting, you grant VERDLO a worldwide, perpetual license to display, distribute, and promote your content without additional compensation.

**Third-Party Content** VERDLO may display content from third parties. We do not warrant the accuracy, legality, or non-infringement of third-party content. Report infringement to legal@verdlo.com.

**Service "As-Is"** VERDLO provides the Service on an "as-is" and "as-available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be: - Uninterrupted, error-free, or virus-free - Secure or free from unauthorized access - Suitable for any particular purpose - Accurate, complete, or current

**Disclaimer of Warranties** TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDLO DISCLAIMS ALL WARRANTIES, INCLUDING: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE - WARRANTIES REGARDING PRODUCT QUALITY, SAFETY, OR NON-INFRINGEMENT - WARRANTIES THAT SERVICE WILL MEET YOUR REQUIREMENTS

**Seller Warranties** Sellers warrant that products: - Are authentic, genuine, and legally owned/obtained - Comply with all applicable laws and regulations - Meet representations and descriptions provided - Do not infringe third-party intellectual property rights - Are safe and suitable for intended purpose

**Maximum LIABILITY** Except where prohibited by law, VERDLO's total aggregate liability arising from or related to these Terms or your use of the Service shall not exceed the lesser of: - The total amount paid by you to VERDLO in the 12 months preceding the claim - One Thousand US Dollars ($1,000)

**Excluded Damages** In no event shall VERDLO be liable for: - Indirect, incidental, special, consequential, or punitive damages - Lost profits, revenue, goodwill, or business opportunity - Lost data or business interruption - Damages resulting from third-party conduct or service providers - Damages from unauthorized access or account compromise

**Indemnification** You agree to indemnify and hold harmless VERDLO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from: - Your violation of these Terms - Your use of the Service - Your breach of applicable laws - Your infringement of third-party rights - Your disputes with other users or sellers

**Informal Resolution** Before initiating formal proceedings, parties agree to attempt good-faith informal resolution by contacting support@verdlo.com with dispute details.

**Binding Arbitration** Except for IP infringement claims, all disputes shall be resolved through binding arbitration administered by JAMS in English, applying the substantive law of California without regard to conflicts of law principles.

**Arbitration Procedures** - Each party bears its own attorney's fees and costs, plus a share of arbitrator fees - Proceedings are conducted on a confidential basis - Limited discovery applies - Arbitrator's decision is final and binding - Limited appeal rights exist

**Exceptions** The following disputes are excluded from arbitration: - IP infringement claims - Claims seeking injunctive relief - Claims arising before these Terms were accepted

**Class Action Waiver** You agree not to pursue claims on a class, representative, or collective basis. Disputes must be brought individually.

**Termination by User** You may request account termination by contacting support@verdlo.com. We will retain your information as required by law.

**Termination by VERDLO** VERDLO may terminate or suspend your account immediately, without notice or liability, for: - Violation of these Terms - Fraudulent or illegal activity - Repeated policy violations despite warnings - Misconduct or abuse of other users - Threats, harassment, or defamatory conduct - Failure to maintain accurate information - Non-payment of fees

**Effect of Termination** - You lose access to your account and its data - Outstanding transactions remain binding - Refund policies of individual sellers apply - We may delete your data subject to legal requirements - Surviving provisions (liability limitations, indemnification, etc.) remain in effect

**Laws and Regulations** You agree to comply with all applicable federal, state, local, and international laws, regulations, and ordinances when using the Service.

**Taxes** You are responsible for determining and paying applicable taxes on purchases and sales. VERDLO does not calculate or remit taxes unless required by applicable law.

**Export Controls** You may not use the Service to ship products to embargoed countries or sanctioned individuals. Sellers are responsible for compliance with export control regulations.

**Data Protection** Your use of the Service is subject to our Privacy Policy and applicable data protection laws including GDPR, CCPA, and similar regulations.

**Sanctions and Restricted Parties** You certify that neither you nor your beneficial owners appear on government sanctions or restricted party lists. VERDLO may suspend accounts of users with sanctions-related connections.
